IP Audit - October 15, 2008 – a BioCenter IP & Regulatory event - San Jose, California
Kurt Mulville of Orrick will present a summary of the substance and procedures in an IP due diligence analysis. Typically, the intellectual property due diligence process accompanies an investment or acquisition of company assets and is comprised of both an assessment of strength of a company's IP portfolio, as well as an assessment of the risk to a company's freedom to operate in specified business operations. The discussion will include the separate and discrete issues in analyzing IP portfolio strength verses freedom top operate issues and will describe the different standards of review that may be applied to risk assessment of freedom to operate and will also provide an overview of the mechanisms of assessing portfolio value and freedom to operate risks. Mr. Mulville will also discuss the potential strategies that can be used to improve the value of a due diligence review and will consider a case study of a prospective technology analyzed for freedom to operate issues. Lung cancer is the second most prevalent form of cancer in the United States and is the leading cause of cancer-related deaths in men and women. According to the National Cancer Institute, the overall mortality rate for lung cancer steadily increased throughout the 1980s and peaked around 1990. While mortality and incident rates for men have decreased since that time, the rates for women are just now stabilizing after continuously increasing for several decades, partly due to improvements in therapies and surgical techniques. Despite these improvements, however, the five-year survival rate for all stages combined is a dismal 16 percent. With over 200,000 new cases of lung cancer expected each year, Northern California life sciences companies are devoting efforts to discovering new, innovative therapies for the treatment of the disease. Implimenting State and National Tax Provisions - October 27-28, 2008 - a BayBio event - California
Two significant national and state provisions directly impact growing life sciences companies and merit special discussion. The first is a provision within the federal housing package signed in late July, allowing companies to utilize accumulated R&D or AMT credits in lieu of bonus depreciation to which they would have otherwise been entitled. This carries the potential to allow up to $30 million in rebates to life sciences companies. Second, the state budget recently approved by the California legislature and Governor Schwarzenegger included an extension of deductability Net Operating Losses from 10 to 20 years, of which BayBio members have been active advocates of for several years.
